Warburg Pincus Acquires Software Leader PSI

The Berlin-based software company PSI Software SE has signed a deal with global investment firm Warburg Pincus that will take it off the stock exchange. Warburg Pincus is offering €45 per share in cash – an attractive 84 percent premium over the stock price from October 8, 2025.

According to the press release, PSI's executive board and supervisory board support the offer, and Warburg Pincus has already secured about 28.5 percent of shares from anchor shareholders. Energy company E.ON, currently the second-largest shareholder and an important PSI customer, will keep its 17.77 percent stake and continue as a strategic investor.

PSI develops software solutions that help energy suppliers and industrial companies optimize efficiency and sustainability. Founded in 1969, the Berlin-based firm has over 2,300 employees and specializes in control systems that combine artificial intelligence with proven optimization methods.

The partnership with Warburg Pincus aims to accelerate PSI's transformation into cloud-based Software-as-a-Service (SaaS) solutions and fuel international expansion, particularly in the Americas, Europe, and Asia. Warburg Pincus has committed to maintaining PSI's headquarters in Berlin, keeping the current management team, and supporting job security.

"The partnership with Warburg Pincus gives us the experience, financial strength, and operational support to speed up our growth strategy," said PSI CEO Robert Klaffus. The transaction is expected to close in the first half of 2026.
